  1. General

1.1. These Terms and Conditions (hereinafter referred to as "T&Cs") regulate the usage of the games provided through www.casibee.com and www.jackpotguru.com, as well as other URL’s licensed to or belonging to Black Cat Holdings Limited, (hereinafter referred to as "Website" or "Websites'' or "the Company''). These T&Cs, the Privacy and Cookies Policy, the Game Rules and any document expressly referred to in them, as well as any guidelines, rules or similar displayed on the Website constitute the agreement and understanding between the Parties and govern the contractual relationship between Black Cat and the End Users. You are responsible for reading these T&Cs carefully and make sure you understand them. You are also responsible for regularly checking these T&C’s and should you not agree with these T&Cs you should refrain from using the Websites any further.

1.2. Black Cat Holdings Limited is a company incorporated under the laws of the Isle of Man with company registration number 019249V, and having its registered address at First Floor, Millennium House, Victoria Road, Douglas, Isle of Man, IM2 4RW.

1.3. Black Cat Holdings Limited is here referred to as "Black Cat", "We", "Us" or "Our" and the Player and registered End user shall be referred to as "You", "Yours", "User", "End user" or "the Player", as and where appropriate.

1.4. Black Cat Holdings Limited is operating under an Online Gambling Regulation Act 2001 (“OGRA”) license, issued on 24/12/2021. The license is issued by the Isle of Man Gambling Supervision Commission (“IOM GSC”) (https://www.gov.im/categories/business-and-industries/gambling-and-e-gaming/), the single Authority and Regulator, responsible issuing of licenses and governance of Gaming in the Isle of Man.

1.5. When playing any games available on our Website/s, all deposits, withdrawals and other player management responsibilities are the sole responsibility of Black Cat, and any other company providing gaming products on the Website are solely software providers and have no responsibility towards the players for the management of funds on Your member account.

1.6. "Games", "the Games" or "Game" refer to any of the games or gaming products provided on the Websites.

1.7. These T&Cs also apply to all platforms and devices that enable game play of games provided by Black Cat, whether through web applications or downloadable applications on any platform or device type.

1.8. Black Cat reserves the right to modify these T&Cs, from time to time, for any reasons, including compliance with applicable laws and regulations, as well as other regulatory requirements. Consequently, You are responsible for periodically checking these terms and conditions Whenever an amendment is made of substantial nature, we will notify you in advance of such changes coming into effect. If you do not agree to the updated T&Cs you are urged to immediately stop using the Website. These T&Cs shall be available on the respective Front Page of the Website at all times.

1.9. It is your responsibility to review these T&Cs, and any respective rules of games you chose to participate in, on a regular basis and not less than once a month, in order to not forget their contents.

1.10. These T&Cs come into effect by confirming your registration details in the registration process on the Website. By registering an account with Black Cat, you agree that you have read and understood these T&Cs. By using any of the Websites you acknowledge that you have accepted and agreed to the contents contained therein.

1.11. These Terms & Conditions may be published in different languages and Black Cat will strive to ensure these T&Cs shall reflect the same principles, no matter what language. Publishing the T&Cs in different languages is done for information purposes in order to help players. Should there nevertheless be any discrepancies between a specific language version and the English version, the English version shall prevail.

  1. Your Obligations

2.1. You may only open one account on each of the Websites provided by us. Black Cat retains the right to terminate any duplicate or multiple accounts.

2.2 If you open, or attempt to open, more than one account per site, for whatever reason, Black Cat has the right, and may block or close any or all of your accounts at our discretion. Black Cat may also at its sole discretion void all the wagers and/or winnings that have been placed in the duplicate or multiple accounts. Black Cat will deduct an administrative fee of 10% (minimum EUR 30) for every other account you opened or any balance left on the account to cover this charge even partially, as well as any other deductions that may apply in accordance with the provisions of these T&Cs.

2.3. By registering on the Website, you declare that you are over 18 years of age, or that you comply with a higher minimum legal age as stipulated in the jurisdiction of your residence, under the laws applicable to you. It is a criminal offence to gamble whilst being underage. It is your sole responsibility to know whether online gambling is legal in your country of residence. Black Cat may take steps to verify your age and you agree to supply Black Cat with any relevant information, including copies of identity documents or any other document as required, and, which we may request. We retain the right to withhold any funds in your account until the necessary and satisfactory verification has been completed. Should the age verification checks prove that you are under 18 years of age, your deposits will be returned to you and any bonuses and winnings shall be voided.

We are required to verify the identity of Our players and therefore reserve the right to request satisfactory proof of your identity (including but not limited to copies of a valid passport/driving licence/identity card and/or any payment cards used) and satisfactory proof of address (including but not limited to a recent bank/credit card statement or utility bill dated within the last 3 months) at any time. Failure to supply such documentation within a satisfactory period of time may result in the delay / cancellation of a withdrawal, voiding of winnings, suspension of Services and ultimately the closure of your account in line with our general regulatory obligations

You agree to provide Us with full and complete information regarding your identity and residential address and any information we require in order to allow us to comply with our regulatory obligations Incomplete or fictitious information or documentation will not be accepted and will constitute a material breach of these T&C’s. This will result in the suspension of Services and the closure of your account.

2.4. You are solely responsible for the details of your player account. This includes, but shall not be limited to, the username and password and/or any other means to access your account via the respective Website. In case you suspect that such information could have been compromised, you shall immediately inform Black Cat and take proper actions to prohibit or prevent any unauthorised access to any part of your account or funds. Should you be aware of any unauthorized access, you may contact us via Live Chat available 24/7 and accessible on the Website main page. You may also use the Live Chat function to report any breaches of T&Cs or game rules or to immediately notify Black Cat of any cheating or suspected cheating when playing the Games.

2.5. You shall use the Games on your own behalf and not on the behalf of any other person or company. Only private individuals may hold an account with Black Cat. For clarity purposes; company accounts, or accounts opened for, or on behalf of, anyone but a natural person acting on his or her own behalf, are not permitted. Furthermore, you shall not share your login credentials, or otherwise allow any other individual to access and/or use your Black Cat account or accept any Prize or access and participate in any of the Black Cat services. You understand that you are fully liable for any losses incurred by a third party on your Account and you shall immediately inform us should you suspect that a third party has obtained access to your Account. Furthermore, you agree to fully assist us in our investigations into such matters, should we so request.

2.6. You may only participate in the Games strictly in your personal non-professional capacity, and solely for recreational and entertainment reasons.

2.7. You are aware that the right to access and use the Website/s and any products there offered, may be considered illegal in certain countries. Consequently, you are responsible in determining whether your accessing and using our website is compliant with the applicable laws in your country and you warrant to us that gambling is not illegal in the territory where you reside. Moreover, you declare that you are not resident of the following countries:

2.8. You are not allowed to transfer funds from your account to another player's account, or to receive money from other players into your account, so called buddy transfers. Black Cat accounts are not transferable and it is prohibited for players to sell, transfer or acquire accounts from other players.

2.9. As an End user you are responsible for providing Black Cat with correct personal details. Consequently, you agree that all information that you give us, such as but not limited to, valid identification, address and email, during the term of validity of this agreement, is complete and true, and that you shall immediately notify us should there be changes to such information. Should Black Cat become aware that you have deliberately failed to provide us with correct information, we retain the right to block the account and void any winnings.

2.10. You may participate in any Game provided on our Website/s only if you have enough funds on your account for such participation.

2.11. You may not use funds that are tainted or associated with any illegality and, in particular, you may not use funds that originate from any illegal activity or source. We moreover reserve the right to terminate an account, confiscate winnings, ban a player and retain all funds where that player is reasonably suspected of engaging in fraudulent activities which include, but are not limited to: the use of stolen or falsified credit cards or account numbers, chip dumping, forgery, collusion, and the submission of data or documents which are forged, stolen or otherwise misappropriated or tampered with. You may be required to, inter alia, evidence the source of your funds as part of Black Cat's due diligence procedures.

2.12. It is your sole responsibility to abide by any reporting processes related to the payment of taxes and/or other fees which might be charged on winnings that you receive from Black Cat, if and where applicable in your jurisdiction. Black Cat shall not be held responsible for your failure to make payment of any taxes due by you to relevant authorities and shall be in no position to advise you of the same.

2.13. With regards to deposits and withdrawals of funds into and from your Account, you acknowledge that you shall only use such payment methods and other financial instruments that are valid and issued by lawful institutions and that legally belong to you solely. The use of financial instruments whose ownership is shared with other individuals, is not tolerated and may result in voiding of winnings and closure of accounts

2.14. You understand and acknowledge that by playing Games provided by us, you take the risk of losing money deposited into your account. Should you not wish to accept this, you are kindly asked to refrain from using this site or any site belonging to Black Cat.

2.15. You declare that you are not and shall not be involved in any fraudulent, collusive, fixing or other unlawful activity in relation to the participation in any of the Games and that you shall not use any software-assisted methods or techniques or hardware devices for your participation in any of the Games. We hereby reserve the right to void any wagers and confiscate funds, should we suspect such behaviour.

2.16. You may only use our sites and products for your own personal, recreational use, in accordance with the rules and the T&Cs we have established and in accordance with all laws, rules and regulations, if and where applicable.

2.17. You shall be courteous to other players using the Websites, as well as support personnel employed by Black Cat and avoid rude or obscene comments. Any non-observance of this clause and of the game rules shall not be tolerated under any circumstance. Such cases may lead to the closure of your account.

  1. Your Account

3.1. In order for you to be able to place wagers and deposit money, you must first register personally with us and open an account ("account").

3.2.1. You are only allowed to have one account on each of the Websites at any single point in time and you shall register this personally. You may not apply for, or open, an Account unless you are acting as principal and you may not act on behalf of someone else or for someone else's benefit and may only register using your own personal details. If you attempt to open more than one account, all subsequent accounts you try to open may be blocked or closed and any wagers and bonuses may be voided, winnings confiscated at our absolute discretion and funds available on the account may be confiscated. In the event that we consider, at our sole discretion, that multiple Accounts have been opened in genuine error, we may agree to credit the first Account you opened with us, or the Account with the most activity at our absolute discretion, with any balance remaining on your additional Account(s). Should we have reasonable grounds to believe that fraud has been committed, or attempted, we reserve the right to cancel any related transaction, any bonus or any other promotion without prejudice to any other action or redress we might avail ourselves of. In these T&Cs, any reference to 'fraud' shall be considered to include 'bonus abuse' and/or any syndicate rings consisting of the linked group of persons following certain patterns of play to attempt to de-fraud Black Cat. Bonus abuse includes, but is not limited to, opening more than one Account in order to claim an additional bonus or benefit.

3.2.2. Only one Account for each household, IP address and device is allowed. If two or more users share the same household, IP address and device, the respective account holders shall immediately inform Black Cat thereof.

3.2.3. Payments may be processed by Sailfish Ventures Ltd, company registration: 019250V, registered address: First Floor Millennium House, Victoria Road, IM2 4RW, Douglas, Isle of Man.

3.3. You shall enter all mandatory information requested in the registration process and it is your sole responsibility to ensure that the information you provide to us is true, complete and correct. You are hereby notified that we carry out verification procedures and that your Account may be blocked for access, or closed, if we suspect that false or misleading information has been supplied to us by you. You are required to inform Black Cat as to any updates, as well as to keep up to date the mandatory information provided in the registration form in the event that such information would change.

3.4. You shall immediately notify us if you notice that you have more than one registered Account. Failure to do so may lead to your Account being blocked and funds confiscated.

3.5. You will have to choose a username and password as part of the registration process, to be used to log in to the Website. It is your sole and exclusive responsibility to ensure that your login details are kept securely, and you shall not disclose your login details to anyone. We are not responsible for any abuse or misuse of your Account, including your funds, by third parties due to your disclosure, whether intentional or accidental, whether active or passive, of your login details to any third party.

3.6. Black Cat reserves the right, at its sole discretion and at all times to request documents to verify the following about you a) the identity of the registered End user; b) the authorisation of the End user to use a specific bank, debit or credit card and c) any facts and information provided to Black Cat by the End user including residence and location. You agree to comply with such requests in a timely manner. Any such requests may be made whenever Black Cat deems necessary and we reserve the right to suspend an account pending any investigations and verifications. We further reserve the right to request and obtain satisfactory proof of source of funds/wealth/income and additional copies of personal identification in such instances prior to processing any withdrawal request, the processing of such request to be entirely at Black Cat's discretion.

3.7. Black Cat reserves the right to refuse or close an Account at its sole discretion and without any explanation whatsoever. However, any contractual obligations already made by Black Cat shall, without prejudice to any rights available at law to Black Cat, be honoured accordingly, provided the account has been verified and requests for any documentation fulfilled before any withdrawals may be processed.

3.8. You understand and accept that Black Cat strictly prohibits player collusion and does not allow the use of robotic, automated, mechanical, electronic or other devices to make automated decisions in any game or in respect of any wager on its sites, whether such use is attempted or effected by you or by any third parties. Should we have reasonable suspicion that any such device is being used on the sites, we reserve the right to void any wager and/or winnings that we suspect has been made using such a device and exclude any customer from participation in any further promotion or competition in which we suspect that such a device has been used. You are also prohibited from utilising an external resource that is designed to provide a player with an unfair advantage over other players. Such prohibited external resources may include, but are not limited to, third-party software applications and databases as well as websites, web-based databases, subscription services and the assistance of any other person regardless of whether or not that person is also the holder of a Black Cat account. We may also suspend the Account in question pending investigation into the matter and close the Account at our sole discretion. Black Cat considers the use of such devices to be equal to fraud and reserves the right not to refund any balance on the Account at the time of termination and to cancel any pending games.

3.9.1. If you wish to close your account, you may do so at any time, by contacting customer support by email or via live chat. Any funds in the Black Cat Account will be returned to you, provided that any pending or necessary due diligence requests (or any other requests to allow us to comply with our general regulatory obligations) have been fulfilled and no breaches of these T&Cs are found to have occurred. The effective closure of the Account will correspond to the termination of the T&Cs, however any obligations already entered into shall be honoured.

3.9.2. In case the reason for closing of the Account is related to concerns about possible gambling addiction, the player shall indicate it. A player who closes an account for gambling addiction reasons shall not open or try to open a new Black Cat account. Black Cat shall not be liable for any direct or indirect consequential damages, should an individual succeed in opening a new account. We reserve the right to void any wagers and/or winnings and to close an account opened in breach of this rule at any point in time.

3.10 Black Cat reserves the right to under certain conditions (as described in these T&Cs) close your account. When your account is closed, Black Cat will promptly pay out the balance on the player account to you (subject to general regulatory obligations). However, Black Cat will only pay back that which remains of the deposits made by you if your account is closed because you have been excluded from gambling as a result of misconduct.

3.11. All communication between the End user and Black Cat is kept on record for compliance, as well as accounting and financial regulations' purposes. In the case a player account is closed, any information about the account is saved for up to five (5) years, or longer if stipulated by law, from the time the account is closed, or as otherwise indicated within Black Cat's data retention policy on the basis of applicable laws. To comply with our licence conditions, related information includes, inter alia, player name, address, phone, email, IP address and transactional details. After the relevant time period has elapsed all the information will be deleted accordingly.

3.12. Black Cat has the right to appoint payment solution providers to act, receive and/or pay funds on its behalf.

3.13. You may not apply for an Account or use any of our Services if you, or a member of your household, are or have in the last two years been employed with Black Cat. For the purposes of this clause "employee" includes third party contractors such as licensors, software suppliers, developers, affiliates or partners and all those persons in any way affiliated with us.

3.14. If you want to recover funds from your account after it has been closed, blocked, terminated, or excluded, you may do by contacting our Support Team via live chat available at any time.

  1. Deposits

4.1. Before you can wager or play on the Website, we require you to make a minimum deposit. The minimum, and maximum, deposit amounts will be specified on the Website under the deposit section of the site or on our dedicated Payment Information Page. You acknowledge that you may only wager and play with the amount of cleared funds held in your Black Cat account. We do not extend credits to end-users under any circumstances. You can make a deposit at any time online by using your debit or credit card, e-wallet, pre-paid voucher or via a bank transfer or any other payment methods available on the site at the time. We do not accept cash or cheques. Certain payment methods may not be available to you depending on certain factors such as jurisdiction and currency. Black Cat retains the right to change any minimum amount indicated at any time and the current minimum amount will be published on the payment pages.

4.2. By depositing funds into your account, your direct us and we agree to hold them, along with any winnings, for the sole and specific purpose of using them (i) to place any gaming stakes; and (ii) to settle any fees or charges that you might incur in connection with the use of our services. We may charge assigned fees for processing deposits. If such fees are applied, it will be visible to the end user during the deposit process and shall also be displayed in the deposit section on the Website.

4.3. Depositing funds into your account shall at all times be made through a Financial Institution or a Payment Solution Provider, by use of any of the methods specified on the Website, as may be amended from time to time. Procedures, terms, availability and duration for transactions may vary depending on the time, the country and the Financial Institution used. Details about the timings for withdrawals in respect to the payment method utilized are available on the relevant pages of the Website, and these may be amended from time to time.

From time to time your card transactions may be processed by different payment providers that we are partnering with.

4.4 Deposited funds are available on the Account within a reasonable amount of time following the confirmation of the deposit made, unless extra verification procedures as stated under clause 4.5 are required.

4.5. Black Cat reserves the right to use additional procedures and means to verify your identity (KYC, or Know Your Customer), both before and after effecting deposits into your Account.

4.6. Your identity documents will be approved automatically within a few hours, if uploaded correctly. If for any reason your documents must be reviewed manually, it may take up to 72 hours from the time of the most recent upload to be verified.

4.7. If Black Cat mistakenly credits your Account with winnings, or loyalty points that do not belong to you, whether this is due to a technical or human error or otherwise, the amount will remain property of Black Cat and the amount will be transferred back to us from your Account. To correct such an error, we reserve the right to void any transactions placed using such funds, including related winnings paid out in error. To satisfy any such liability, we further reserve the right to freeze and withhold these funds and set-off any subsequent winnings owed to you. If prior to Black Cat becoming aware of the error, you would have withdrawn funds that do not belong to you, without prejudice to other remedies and actions that may be available to us at law, the mistakenly paid amount will constitute a debt owed by you to Black Cat. In the event of an incorrect crediting, you are obliged to notify our Customer Support services immediately by email, and you shall be obliged to return the funds to Black Cat immediately.

4.8. You acknowledge that you shall only use bank cards and other financial instruments that are valid and lawfully belong to you solely. The use of financial instruments whose ownership is shared with other individuals (or is owned by a company), is not tolerated and will result in voiding of winnings.

4.9. The minimum deposit amount can be viewed on our Payment Information page, provided the minimum deposit may be subject to change from time to time at Black Cat's discretion.

4.10. It is unlawful to deposit money from ill-gotten means. In accordance with our anti-fraud policies, we reserve the right to pay any requested withdrawal partly or in total via the same method of payment and/or to the same account through which one or more deposits were made. We further reserve the right to pay any requested withdrawal directly to your bank account subject to general regulatory obligations

4.11. During the registration process you will choose a base currency for your Account. Once the Account is created, the base currency cannot be changed. Any deposits, wager, winnings will be of the selected currency. In case your payment account (e.g.your bank account or your eWallet-account) is in a different currency, Black Cat, or your bank/eWallet, as the case may be, will convert the funds into your Account base currency before depositing it to your account. Likewise, the funds you withdraw will be sent to you in your chosen base currency and Black Cat or your bank/eWallet, as the case may be, will convert the funds to your payment account currency. Please note that any exchange premiums, if applied for such conversion, are payable by the Player.

4.12. Deposits made to your Black Cat account should be commensurate with game play. If in Black Cat's discretion, there is suspicion of abuse (for instance, where a deposited amount has not been used for an appropriate level of game play and the user then makes a withdrawal request in relation to that deposited amount, or where Black Cat suspects that you are abusing exchange rate fluctuations, we reserve the right, in our absolute discretion, to cancel the respective deposit(s), and/or any related withdrawals, in part or in full, to retract any costs that may have resulted in conjunction therewith and to close the Black Cat account indefinitely. We further reserve the right to request and obtain satisfactory proof of source of funds/wealth/income and additional copies of personal identification in such instances prior to processing any withdrawal request, the processing of such request to be entirely at Black Cat's discretion.

4.13. You agree that the funds deposited in your Account must only be used for playing the Games which are found on our Website/s. We shall be entitled to suspend or close your account if we reasonably consider, or have reason to believe, that you are depositing funds without any intention of placing wagers or gaming stakes. In such circumstances we may also report this to relevant authorities.

4.14. Black Cat does not grant any credit for the use of its services. Furthermore, no interest may be charged should there be a delay in the processing of funds as part of routine withdrawal processes, and Black Cat shall in no way be responsible for delays by third party processors of such funds, including but not limited to banks and payment service providers.

4.15. You acknowledge that we shall have the right to block a Black Cat Account should we receive a chargeback request or similar dispute over a financial transaction in relation to that Account. When a chargeback request or similar dispute over a financial transaction has been received, we may contact you as the registered End user, so as to seek confirmation of your identity, ownership of the payment method and permission to use said method. Reminders may be sent should the requested confirmation not be received. Administrative fees may apply in such cases and the balance of your Black Cat account may decrease in the case of unduly incurred chargebacks, reversals or other charges we may sustain in relation to your account. You are to note that any remaining funds held in a Black Cat account which has been blocked due to a chargeback request, shall be treated as though they were funds on an Inactive account and the procedure laid down under section 7 of these T&Cs shall apply.

  1. Withdrawals

5.1.1. Available withdrawal options are clearly stated on the Website/s and may differ depending on the jurisdiction from which the Player originates.

5.1.2. Withdrawals will be made to your bank account or other withdrawal methods available to you to choose from under the "Withdrawal" pages and/or as chosen by Black Cat. Please see our dedicated Payment Information Pages for the current fee structure and time to execute withdrawals. Whenever possible, Black Cat shall pay your withdrawals by using the same method you would have utilized to make your deposits. Withdrawal payments may only be made in the name of and to the registered End user. Withdrawals may only be remitted to the original funding source used for deposit.

5.2. It will not be possible to withdraw funds marked as "Bonus money", as well as funds stuck in an aborted game.

5.3. Financing a wager through the Internet may be illegal in the jurisdiction in which you reside, and in such circumstances, you are not authorised to use and fund your account for the purposes of placing a wager. Your participation in the games we provide, in a jurisdiction where such participation is prohibited by law, shall not affect any stakes or payments made to, and accrued for the benefit of, Black Cat. Moreover, you understand and accept that it is your sole responsibility to pay and proceed with all necessary diligence in relation to taxes on any prize money, if and where these are applicable.

5.4. In line with our licence and general regulatory obligations, Black Cat will carry out additional verification procedures.e fu Such verifications may include but shall not be limited to, copies of an end user' passport, national Identity Card, copies of an End User's utility bills, and/or copies of the credit/debit cards used to make deposits, documents relating to the End User’s source of funds/wealth/income. Following said due diligence request, should our licence / regulatory obligations not be discharged or you fail to comply, we may not be in a position to process your withdrawal.

5.5. All transactions shall be checked in order to prevent money laundering. Black Cat, the Regulator and any Governing body (including the Financial Intelligence Unit in the Isle of Man) can monitor, or request to review, all transactions to prevent money laundering from being taking place. Black Cat shall report any suspicious transactions to the relevant competent authorities in the jurisdiction they would respectively fall under and in which Black Cat is licensed to operate. Should we be made aware of any suspicious activity relating to any of our Games, we shall report this to the relevant authorities immediately. 16.2 . All debts are enforceable in Law on the Isle of Man.

16.3. The parties agree that any dispute, controversy or claim arising out of or in connection with these T&Cs, or the breach, termination or invalidity thereof, shall be submitted to the exclusive jurisdiction of the Manx courts. Black Cat cannot and shall not be liable for any complaint or claim filed or made on the basis of the laws of any other jurisdiction.
